Lundr Network — Non-Disclosure Agreement
This Non-Disclosure Agreement (“Agreement”) is entered into as of the date and time of electronic signature below between Lund Studio LLC, a Colorado limited liability company (“Lund Studio”), and the operator accessing this portal (“Recipient”).
CLAUSE 1 · DEFINITION OF CONFIDENTIAL INFORMATION
What Is Protected
“Confidential Information” means all non-public information disclosed by Lund Studio to Recipient, including but not limited to:
- Prompt libraries, AI system prompts, and prompt engineering methodologies
- Venture concepts, business plans, financial projections, and go-to-market strategies
- Client relationships, client data, and engagement details
- Proprietary workflows, SOPs, and operational playbooks
- Software, code, AI models, and evaluation benchmarks
- Pricing structures, revenue data, and financial information
- Any information marked “Confidential,” “Internal Only,” or “Proprietary”
CLAUSE 2 · OBLIGATIONS OF RECIPIENT
Your Obligations
Recipient agrees to:
- Hold all Confidential Information in strict confidence
- Not disclose Confidential Information to any third party without prior written consent from Lund Studio
- Use Confidential Information solely for performing Recipient’s authorized role within the Lundr Network
- Not reproduce, copy, or retain Confidential Information beyond what is necessary for Recipient’s authorized role
- Immediately notify Lund Studio of any unauthorized disclosure or breach
CLAUSE 3 · INTELLECTUAL PROPERTY
IP Ownership
All prompts, workflows, AI outputs, documents, and materials created by Recipient in connection with their role at Lund Studio are the exclusive intellectual property of Lund Studio LLC. Recipient hereby assigns all right, title, and interest in such materials to Lund Studio. This assignment is irrevocable and perpetual.
CLAUSE 4 · TERM
Duration
This Agreement remains in effect for a period of five (5) years from the date of last access, or indefinitely with respect to trade secrets. Upon termination of Recipient’s engagement with Lund Studio, Recipient shall immediately return or destroy all Confidential Information.
CLAUSE 5 · REMEDIES
Breach
Recipient acknowledges that any breach of this Agreement would cause irreparable harm to Lund Studio for which monetary damages would be insufficient. Lund Studio shall be entitled to seek injunctive relief, specific performance, and all other available remedies. This Agreement is governed by the laws of the State of Colorado. Any disputes shall be resolved exclusively in the state or federal courts located in Adams County, Colorado.
